These Terms of Service ("Terms") govern your access to and use of the Ultra Synchronous platform ("Service"), operated by Ultra Synchronous ("we," "us," or "our"). By creating an account or using the Service you agree to be bound by these Terms.
Ultra Synchronous is a cloud-based analytics and account management platform for proprietary futures traders. The Service provides trade logging, performance tracking, account constraint monitoring, cashout management, and real-time scanner alerts. The Service is not a broker, exchange, or registered investment adviser and does not execute trades on your behalf.
You must be at least 18 years of age to use the Service. By using the Service you represent that you are legally permitted to engage in futures trading activities in your jurisdiction. The Service is intended for personal, professional trading use only and may not be used for any unlawful purpose.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
Access to certain features of the Service requires a paid subscription. Subscriptions are billed on a recurring basis through Stripe. You authorize us to charge your payment method at the then-current subscription rate at the start of each billing period. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are not issued for partial billing periods. You may cancel your subscription at any time from your billing settings; access continues through the end of the paid period.
We reserve the right to change subscription pricing with at least 14 days' notice communicated by email to your registered address.
By enabling SMS alerts in your account settings and providing a mobile phone number, you consent to receive text messages from Ultra Synchronous related to the Service, including trade signal alerts, risk notifications, and account status updates. Message and data rates may apply. Message frequency varies based on your settings and market activity. You may opt out at any time by replying STOP to any message or by disabling SMS alerts in your account settings. We do not share your mobile phone number with third parties for marketing purposes.
Nothing provided through the Service — including scanner signals, GO alerts, analytics, constraint tracking, or any other feature — constitutes financial advice, investment advice, or a recommendation to buy or sell any financial instrument. All trading involves significant risk of loss. Past performance displayed in the Service is not indicative of future results. You are solely responsible for your own trading decisions.
If you are trading under a proprietary trading firm evaluation or funded account program, you are solely responsible for understanding and complying with that firm's rules and restrictions. Ultra Synchronous does not guarantee that use of the Service complies with any particular prop firm's terms and conditions. Constraint and goal tracking features are informational tools only; they do not enforce firm rules or guarantee account compliance.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the data practices described in the Privacy Policy.
The Service, including its scanner algorithms, signal logic, interface design, and underlying code, is the exclusive property of Ultra Synchronous and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service. Trade data and performance records you enter into the platform remain your property; you grant us a limited license to store and process that data solely to provide the Service to you.
We aim to maintain reliable availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable during maintenance windows, infrastructure updates, or events outside our control. We are not liable for any trading losses or missed opportunities resulting from Service unavailability.
To the fullest extent permitted by applicable law, Ultra Synchronous and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, lost profits, or loss of data, arising out of or related to your use of or inability to use the Service, even if advised of the possibility of such damages. Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total subscription fees paid by you in the three months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of scanner signals, or non-infringement. We do not warrant that scanner alerts will be timely, accurate, or profitable.
You agree to indemnify and hold harmless Ultra Synchronous and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 12, 13, and 14) will survive.
We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will send notice to your registered email address. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction, at our election.
